Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Meeval application ("Meeval" or the "Application") and the meevalcare.com website (together with the Application, the "Platform"), provided by Meeval Care ("we," "us," or "our"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, please refrain from using the Platform.

1. Use of the Meeval Application

1.1 Eligibility. You must be at least 18 years old or have the legal authority to enter into these Terms to use the Meeval Application. By using the Application, you represent and warrant that you meet these eligibility requirements.

1.2 Account Registration. To access certain features of the Meeval Application, you may need to create an account. You agree to provide accurate, complete, and up-to-date information during the registration process. You are responsible for maintaining the confidentiality of your account login credentials and are solely responsible for all activities that occur under your account.

1.3 Prohibited Activities. You agree not to use the Meeval Application for any unlawful or unauthorized purposes. You must comply with all applicable laws and regulations when using the Application. Additionally, you agree not to:

• Access or use the Application in a manner that could damage, disable, overburden, or impair its functionality.
• Attempt to gain unauthorized access to any user accounts, data, or computer systems.
• Interfere with or disrupt the Meeval Application or its associated servers or networks.
• Use the Application to transmit or distribute viruses, malware, or other harmful computer code.
• Engage in any activity that violates the privacy or rights of others.
• Use the Application to provide professional medical advice to third parties, except as part of an authorized clinical workflow agreed in writing with Meeval Care.

2. Content and Intellectual Property Rights

2.1 User Content. By using the Meeval Application, you may submit content, such as patient-reported outcome measures, feedback, or other information ("User Content"). You retain ownership of your User Content, and you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, and display your User Content for the purpose of providing the Meeval services.

2.2 Intellectual Property. The Meeval Application and its contents, including but not limited to text, graphics, images, logos, and software, are protected by intellectual property laws. You acknowledge and agree that all intellectual property rights in the Meeval Application belong to us or our licensors. You may not modify, reproduce, distribute, or create derivative works based on the Meeval Application without our prior written consent.

2.3 Reporting Infringement. If you believe that any content on the Platform infringes your intellectual property rights, please send a written notice to hello@meevalcare.com including: (a) a description of the work claimed to be infringed, (b) the location of the allegedly infringing material on the Platform, (c) your contact information, (d) a statement of good-faith belief that the use is not authorized, and (e) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the rights holder or authorized to act on the rights holder's behalf. We will respond to valid notices in accordance with applicable law.

3. Privacy and Data Protection

3.1 Privacy Policy. Your use of the Meeval Application is subject to our Privacy Policy, which outlines how we collect, use, and disclose your personal information. By using the Application, you consent to the collection and processing of your data as described in the Privacy Policy.

3.2 Data Security. We implement reasonable security measures to protect your personal information and maintain the confidentiality of your data. However, no system is completely secure, and we cannot guarantee the absolute security of your information.

4. Disclaimer of Warranties

4.1 No Medical Advice. The Meeval Application is intended for informational purposes only and is not a substitute for professional medical advice, diagnosis, or treatment. The content provided through the Application is not medical advice. Always seek the advice of a qualified healthcare professional with any questions you may have regarding a medical condition. Never disregard professional medical advice or delay seeking it because of something you have read or accessed through the Application. In a medical emergency, call your local emergency services immediately. Do not rely on the Application.

4.2 No Endorsement. We do not endorse, guarantee, or warrant the accuracy, completeness, or usefulness of any information provided through the Meeval Application. We are not responsible for any actions taken based on the information obtained from the Application.

4.3 "As Is" Basis. Except as expressly stated in these Terms or as required by applicable law, the Application is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

5. Limitation of Liability

5.1 Indirect Damages. To the maximum extent permitted by applicable law, in no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Meeval Application, even if we have been advised of the possibility of such damages.

5.2 Total Liability. Our total liability to you for any claim arising out of or in connection with these Terms or your use of the Meeval Application shall not exceed the greater of (a) the amount paid by you to Meeval Care in the 12 months preceding the claim, or (b) INR 1,000.

5.3 Indemnification. You agree to defend, indemnify, and hold harmless Meeval Care and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debts arising from (a) your use of the Application in violation of these Terms, (b) your User Content, or (c) your violation of any third-party right.

6. Modification and Termination

6.1 Modification of Terms. We reserve the right to modify or update these Terms at any time. We will notify you of any material changes to these Terms by posting the updated version on the Meeval website or within the Application. Your continued use of the Meeval Application after such modifications constitutes your acceptance of the revised Terms.

6.2 Termination. We may terminate or suspend your access to the Meeval Application at any time, without prior notice, for any reason or no reason. Upon termination, all rights and licenses granted to you under these Terms will immediately cease. Sections that by their nature should survive termination — including 2 (Intellectual Property), 3 (Privacy), 4 (Disclaimers), 5 (Limitation of Liability), and 7 (Governing Law) — will survive.

7. Governing Law and Dispute Resolution

7.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict-of-laws principles.

7.2 Dispute Resolution. Any dispute arising out of or relating to these Terms or your use of the Meeval Application shall first be addressed through good-faith negotiation between the parties for a period of at least 30 days. If the dispute cannot be resolved through negotiation, it shall be submitted to the exclusive jurisdiction of the courts located in Ernakulam, India.

8. General

8.1 Entire Agreement. These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Meeval Care regarding the Application and supersede any prior agreements between you and Meeval Care.

8.2 Severability. If any provision of these Terms is held to be unenforceable or invalid by a court of competent jurisdiction, the remaining provisions will continue in full force and effect.

8.3 No Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

8.4 Assignment. You may not assign or transfer these Terms or any of your rights or obligations under them without our prior written consent. We may assign these Terms or any of our rights or obligations under them at any time without notice to you.

8.5 Force Majeure. We will not be liable for any failure or delay in the performance of our obligations under these Terms caused by events beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, network or power outages, or failure of third-party service providers.
